Additional Terms InnerSeed Garden Referral Program

Article 1 – Applicability

1.1 These Additional Referral Program Terms and Conditions (hereinafter: Referral Terms) apply to participation in the referral program (hereinafter: Program) of the InnerSeed Garden App (hereinafter: App), offered by The InnerSeed Developers (hereinafter: InnerSeed).

1.2 These Referral Terms supplement InnerSeed's General Terms and Conditions, available at https://innerseed.dev/policies/terms-of-service (hereinafter: General Terms). In the event of any conflict between these Referral Terms and the General Terms, these Referral Terms shall prevail with respect to the Program.

1.3 By participating in the Program, the user (hereinafter: Participant) fully and unconditionally accepts these Referral Terms.

Article 2 – Nature of the Program

2.1 The Program is a promotional mechanism through which existing users can invite other people to use the App. The Program has an exclusively promotional nature.

2.2 Participation in the Program does not create an employment relationship, agency agreement, partnership, or any other legal or commercial relationship between the Participant and InnerSeed.

2.3 Participation in the Program does not give rise to any income rights, payment rights, or financial claims. Referral rewards do not represent monetary value and are not consideration for services rendered.

Article 3 – Rewards and conditions

3.1 The current rewards associated with the Program are displayed exclusively within the App. InnerSeed reserves the right to change the nature, amount, and form of rewards at any time and without prior notice.

3.2 InnerSeed also reserves the right to suspend or terminate the Program in whole or in part, without Participants being able to derive any rights from such action.

3.3 Participants can not derive rights from:

• a. rewards or conditions that applied in a previous version of the Program;
• b. screenshots, messages, or other representations of the Program obtained outside the current in-app environment;
• c. oral or informal communications about the Program.

Article 4 – Conditions for a valid referral

4.1 A referral is considered valid only if all of the following conditions are met:

• a. the invited person (hereinafter: New User) is not yet a registered user of the App at the time of registration;
• b. the New User has registered via the Participant's unique referral link or referral code;
• c. the registration of the New User complies with InnerSeed's General Terms;
• d. the referral has been demonstrably registered and validated by InnerSeed's system.

4.2 InnerSeed is not obliged to grant a reward if a referral has not been recorded by its systems, regardless of the cause.

Article 5 – Prohibited conduct

5.1 The following conducts are expressly prohibited and may lead to immediate exclusion from the Program and revocation of awarded rewards:

• a. self-referral, including creating multiple accounts to simulate one's own referral;
• b. sending unsolicited messages (spam) via email, messaging services, or social media;
• c. using automated systems, bots, or scripts to generate referrals;
• d. any other form of abuse, manipulation, or fraud related to the Program;
• e. misleading third parties about the nature or benefits of the App or the Program.

Article 6 – Non-transferability and non-exchangeability

6.1 Referral rewards are strictly personal and not transferable to third parties.

6.2 Rewards are not exchangeable for money or other means of payment, unless expressly and otherwise stipulated in writing by InnerSeed.

6.3 Rewards expire upon termination of the user account, regardless of the reason for termination.

Article 7 – Revocation of rewards

7.1 InnerSeed reserves the right to revoke or correct already awarded rewards in the following cases:

• a. there is (a suspicion of) fraud, abuse, or violation of these Referral Terms or the General Terms;
• b. the reward was incorrectly or erroneously granted due to a technical error, calculation error, or system malfunction;
• c. the referral subsequently proves not to meet the conditions of article 4.

Article 8 – Tracking and technical limitations

8.1 InnerSeed strives for reliable registration of referrals, but does not guarantee that every referral will be correctly and completely tracked. Technical malfunctions, browser or device settings, and other factors beyond InnerSeed's control may affect registration.

8.2 No claims can be derived from a referral that is not or incorrectly registered.

Article 9 – Liability

9.1 InnerSeed is not liable for any damage arising from or related to:

• a. the unavailability, modification, or termination of the Program;
• b. the non-registration or incorrect registration of referrals;
• c. the revocation or adjustment of rewards in accordance with these Referral Terms.

9.2 To the extent permitted by law, InnerSeed's total liability in connection with the Program is limited to the amount of the reward to which the Participant is entitled in the relevant case.

Article 10 – Applicable law and disputes

10.1 All agreements are exclusively governed by Dutch law.

10.2 Disputes will initially be submitted to the competent court in the district of Overijssel, without prejudice to the right of consumers to submit a dispute to the court of their place of residence.

10.3 Consumers always retain their legal rights as laid down in mandatory provisions of consumer law.
